The Philadelphia Flyers announced Terry Murray will be the new head coach for the Adirondack Phantoms.

"We feel very fortunate to be able to bring Terry back to the Flyers organization as head coach of the Phantoms," Philadelphia general manager Holmgren said. "Terry brings a wealth of knowledge and experience, is an excellent teacher and a strong believer in the development process of young players."

"Terry has a long and successful history of winning and developing players," added Phantoms president Jim Brooks. "We look forward to him joining our Phantoms staff."

"I really appreciate the opportunity to come back to the Flyers organization, and I'm really looking forward to the challenge that's out there of coaching the Phantoms," Murray said. "The youth playing down in the American Hockey League is a real important part of the organization. I'm looking forward to the challenge of getting back into the playoffs and helping these young players develop and become NHL players as quickly as possible."

This is Murray's third stint as a coach. He was head coach of the Flyers from 1994-97, winning the Stanley Cup in 1997. He was 118-64-30 in 212 games with Philadelphia. In 1,012 NHL games as head coach, he is 499-383-89-41.

Euro 2012: Italy victorious over Germany, now faces Spain in final

Euro 2012: Italy beat Germany, 2-1, in the semifinals of the Euro 2012 soccer tournament. Mario Balotelli scored twice. Italy will face Spain on Sunday the European Championship finals.

Extending its winless streak against Italy in major tournaments to eight matches, Germany had no answer for Balotelli nor Antonio Cassano's creativity.

In the 20th minute, Balotelli had no trouble getting past Holger Badstuber to head in a pinpoint cross from Cassano. Then in the 36th, the 21-year-old striker received the ball behind the defense and blasted a long shot into the top right corner.

While he did score against Ireland, Balotelli was criticized for wasting numerous chances against Spain, Croatia and England.

Germany failed to trouble Italy for much of the match, but Mesut Oezil scored on a penalty kick in injury time after Federico Balzaretti was whistled for a handball.

Italy will face defending champion Spain in Sunday's final in Kiev, Ukraine ? a rematch of their 1-1 draw that opened Group C.

While Italy has won four World Cups, it's only European Championship came in 1968. Like when they won the 1982 and 2006 World Cups, the Azzurri have managed to maintain their focus despite a match-fixing and betting scandal at home.

On a pleasant evening at the National Stadium Warsaw, Cassano set up the opening goal by befuddling Germany defenders Mats Hummels and Jerome Boateng to lift the ball in Balotelli's direction.

The second goal began with a long vertical pass from Riccardo Montolivo, whose mother is German. Balotelli collected the pass with his back to the goal, controlled the ball with his chest and then sprinted forward and unleashed a blazing shot from the edge of the area as Germany goalkeeper Manuel Neuer again stood immobile.

Balotelli took off his jersey after his second goal, which drew an automatic yellow card, although he will not miss the final.

Even before scoring, Italy controlled the pace of the match, although Germany did have several chances from Hummels, Toni Kroos and Oezil.

In the 35th, Italy goalkeeper Gianluigi Buffon preserved the Azzurri lead by swatting away a long shot from Sami Khedira ? and Balotelli doubled the lead a minute later.

To start the second half, Germany coach Joachim Loew brought on Miroslav Klose for Mario Gomez at center forward and replaced Lukas Podolski with Marco Reus on the wing.

With Germany appearing slightly more organized, captain Philipp Lahm had a great look at the goal in the 49th but shot way over the bar.

Buffon made another impressive save in the 62nd, leaping to push a free kick from Reus off the bar.

While Italy largely sat back and protected its lead in the second half, the Azzurri did produce some dangerous counterattacks. Claudio Marchisio shot just wide in the 67th and 75th and substitute Antonio Di Natale missed another chance in the 82nd.

Di Natale came on in the 70th after Balotelli went down with a cramp to his left leg.

White-clad German fans greatly outnumbered Italian supporters, unveiling a huge banner before kickoff that featured a giant "G'' for Germany. However, most of the stadium was filled with Polish fans who supported Italy.

They had plenty to cheer about.

Heat hampers efforts to fight Colorado fires

WOODLAND PARK, Colo. (AP) ? Air Force Academy officials were evacuating roughly one-third of households on the school's grounds Tuesday night as heavy smoke billowed from a wildfire that has burned homes near Colorado Springs.

The school said it was evacuating 693 residents in Pine Valley Housing, but an area of the 28-square-mile campus that houses cadets wasn't immediately evacuated. A new class of cadets is still scheduled to report on Thursday.

Fire officials had issued a pre-evacuation notice for the academy earlier Tuesday.

Fire information officer Greg Heule said earlier Tuesday that the fire was less than five miles from the southwest corner of the academy's campus.

Television images showed homes burning, and the Flying W Ranch southwest of the Air Force Academy said on its website that the ranch had burned to the ground.

Meanwhile, authorities in central Utah found one woman dead Tuesday when they returned to an evacuated area, marking the first casualty in a blaze that consumed at least two dozen homes and appears to be taking a turn for the worst.

Throughout the interior West, firefighters toiled in searing, record-setting heat that refused to relinquish its grip, as they struggled to contain blazes in Colorado, Utah and other Rocky Mountain states Tuesday.

Colorado has endured nearly a week of 100-plus-degree days and low humidity, sapping moisture from timber and grass, creating a devastating formula for volatile wildfires across the state and punishing conditions for firefighters.

"When it's that hot, it just dries the fuels even more. That can make the fuels explosive," said Steve Segin, a fire spokesman for the U.S. Forest Service.

All of Utah and much of Wyoming, Colorado and Montana were under a red flag warning, meaning conditions were hot, dry and ripe for fires.

Tuesday was the fifth consecutive day with temperatures of 100 degrees or higher in Denver, tying a record set in 2005 and 1989. On Monday, Denver set a record with 105 degrees. The previous record for June 25 was 100 degrees in 1991.

Other areas of the state also topped 100 degrees Tuesday, including the northeastern Colorado town of Wray, which hit 108, the National Weather Service said.

What the nation is now seeing is "a super-heated spike on top of a decades long warming trend," said Derek Arndt, head of climate monitoring at the National Climatic Data Center in Asheville, N.C.

The U.S. set 107 new temperature records Monday and in the past week has set 782 of them, which are large numbers but hard to put in context because the data center has only been tracking the number of daily records broken for little more than a year, Arndt said.

But what's truly impressive, Arndt said, is that in the past three days in Colorado and Kansas, nine sites have set records regardless of the date. Usually hottest-ever marks are set in the scorching months of July and August.

The scorching heat doesn't appear to be letting up soon. Segin said such prolonged heat is "extremely taxing" physically on firefighters, who are working long days and carrying heavy gear.

Television video from the 7-square-mile Waldo Canyon fire west of Colorado Springs, Colo., showed smoke and flames close to houses in a forested neighborhood northwest of Colorado Springs.

The fire was 5 percent contained.

Two specially equipped Air Force C-130 cargo planes were helping fight the fire, and a third was expected later in the day.

With the nation's privately owned fleet of heavy air tankers already in use or unavailable, U.S. Forest Chief Tom Tidwell said his agency had to call on the military to help.

Tidwell told The Associated Press in a phone interview Monday that about half of the nation's personnel who are usually assigned to large fires are working in Colorado right now.

"It's just because it's so dry," Tidwell said. "Not unlike New Mexico ? they saw very low snowpack, especially in that lower country. Hot, dry winds with dry fuels, you get the ignition, and this is what we see."

At the 136-square-mile High Park fire in northern Colorado, authorities increased the number of homes destroyed to 257, saying they found nine homes that hadn't been counted earlier. The total was already the highest of any wildfire in state history.

That fire was 55 percent contained.

In Utah, Sanpete County sheriff's officials haven't identified the body found or explained where the remains were found Tuesday morning while assessing damage in the area.

On Tuesday morning, officials announced that the 60-square-mile Wood Hollow Fire was 15 percent contained and lifted some evacuation orders amid predictions they'd contain the blaze even further. But winds fanned the flames again by afternoon, forcing authorities to shut down part of U.S. 89 near Indianola amid fears that the fire would jump the highway.

Evacuations were called for Fairview, a town of about 1,100 residents near the blaze, as the fire grew larger and more erratic.

Elsewhere in the West:

? A fire that charred nearly 70 square miles west of Ruidoso, N.M., was 90 percent contained, with many residents allowed to return home.

? A wildfire north of Helena, Mont., destroyed four homes and forced additional evacuations. Gov. Brian Schweitzer issued a state of emergency for four counties.

? A wildfire in the Bridger-Teton National Forest grew from about 300 acres to 2,000 acres Tuesday, marking the first major wildfire of the season in western Wyoming.

Why Land Value Taxation Is Superior to Tax Increment Financing (TIF)

PA municipal governments love Tax Increment Financing (TIF), but I think it?s a bad way to go about financing development. Here?s a good treatment of the issue from Rick Rybeck, showing why a land value tax (or value capture) is superior. I really can?t recommend this paper enough. Tax Increment Financing (TIF) has become a relatively well-known technique for financing new infrastructure. It assumes that in the absence of new infrastructure, new private investment in real estate will not occur. Therefore, within a defined area, revenues from one or more taxes are benchmarked. By legislation, any revenues within this area above these benchmarked amounts are diverted from a jurisdiction?s general fund and dedicated to a special fund used to finance new infrastructure.

Based on this questionable assumption about private investment, TIF makes it appear thatthis infrastructure investment has no cost to the public treasury (because supposedly in the absence of the new infrastructure investment, property, sales, and income tax revenues would remain static). Therefore, the investment of public funds can be made without appearing to cut spending on existing programs or raise tax rates. As with the special assessment district, the boundary of the TIF district will be somewhat arbitrary.

Furthermore, because tax increment financing obtains revenues from existing taxes, any negative incentives embedded in the existing tax structure remain. Thus, although TIF can succeed in raising revenues, it lacks the positive incentives associated with the split-rate tax that promote more compact and affordable development.

In general, a split-rate property tax uses market forces better than these other techniques to promote compact and affordable development. Also, it automatically captures land value increases from a wide array of new and improved public facilities and services. From an equity standpoint, owners who receive the greatest benefits would pay proportionately more than those who receive the least. On the other hand, a split-rate property tax typically produces revenues for a jurisdiction?s general fund. Therefore, a split-rate property tax does not provide a dedicated revenue source that can help structure debt financing for transportation projects.

These alternative techniques must be evaluated on a case-by-case basis. In most instances, they are not very sensitive to the fact that properties receive different levels of benefit from infrastructure projects. Finally, they do nothing to diminish the adverse affects of the property tax applied to building values. In cases where a surcharge is applied to the tax on buildings, they exacerbate these adverse effects. Their primary advantage is that they provide a discrete and dedicated source of revenue to finance a project. A jurisdiction might obtain the best of both techniques by creating a special assessment district generates dedicated revenues from a tax on land values alone.

The 40th Anniversary of Title IX: The 21st Century Issue of College Coaches' Salaries












Today marks the 40th anniversary of Title IX.? On June 23, 1972, Congress passed the Educational Amendments of 1972.? Included within the Educational Amendments of 1972 was Title IX, which states that, ?No person in the United States shall, on the basis of sex, be excluded from participation in, be denied the benefits of, or be subjected to discrimination under any education program or activity.?? Although the text of Title IX itself does not specifically regulate intercollegiate athletics, one of the law?s most lasting effects over the last 40 years is the impact it has had upon intercollegiate athletics.

In the four decades that have passed since Title IX was enacted, much has been written about the positive experiences it has granted female athletes to compete in intercollegiate sports at a more equal level to their male athletes counterparts.? In contrast, much has also been written about how Title IX has removed athletic opportunities for male athletes.? Each of these outcomes of Title IX presents important issues which must continue to be addressed.? However, 40 years after Title IX was enacted, perhaps the most pressing issue that must be addressed under the law, is the difference in pay between coaches of men?s sports and women?s sports.

While the text of Title IX itself does not specifically dictate that coaches of men?s and women?s sports be similarly paid, Title IX?s regulations address the compensation of men?s and women?s sports coaches.? In particular, Title IX?s regulations provide that wages and compensation cannot be distinguished ?. . . on the basis of gender, or result in such distinctions for equal work on jobs which require ?equal skill, effort, and responsibility, and which are performed under similar working conditions.??? Pay discrimination claims under Title IX focus upon the sex of the team coached, and not the sex of the coach.

Huge disparities continue to exist between the amount of money coaches of men?s and women?s sports earn.? Each year, the United States Department of Education?s Office of Postsecondary Education publishes the Equity in Athletics report.? Schools submit data for this report in order to ensure their continued compliance with Title IX.? One component of the report is the salaries of men?s and women?s sports coaches.? The chart below lists the average head coaching salary for men?s and women?s sports at schools making up the six largest NCAA conferences (ACC, Big 12, Big East, Big Ten, Pac-12 and SEC).? The data is from 2010-11, which is the most recent year that the Equity in Athletics report was published.

California voters narrowly reject new tobacco tax

SACRAMENTO, Calif. (AP) ? A California initiative to increase the tax on tobacco to pay for cancer research has failed by less than a percentage point after remaining too close to call for more than two weeks.

With about 5 million ballots cast, opponents of Proposition 29 led by about 28,000 votes. The Associated Press analyzed areas where the roughly 105,000 uncounted votes remain and determined Friday there were not enough places where "yes" was winning to overcome the deficit.

Cyclist Lance Armstrong, a cancer survivor, headed the plan to add $1 to the cigarette tax. Tobacco companies, led by Philip Morris, meanwhile pushed the opposition campaign, pouring millions of dollars into an advertising blitz that whittled away support. Polls showed approval peaked around two-thirds in March but fell dramatically in the weeks before the June 5 balloting.

On Friday, the Prop 29 was failing 50.3 percent to 49.7 percent.

Support for the initiative was strongest in the San Francisco Bay Area, while more conservative places like Southern California's Inland Empire opposed it.

Had the measure passed, Californians would still have paid only the 16th highest tobacco tax in the nation, at $1.87 per pack.

Proponents said they would be back.

"This came so close, I think this is worth another try," said Stan Glantz of the University of California, San Francisco's Center for Tobacco Control Research and Education. "I think it would be horrible if Philip Morris and Reynolds get away with this."

He suggested that cigarette tax supporters might turn to the Legislature, though lawmakers routinely reject attempts to raise tobacco taxes.

The opposition campaign will wait until all the votes have been counted before declaring victory, spokeswoman Beth Miller said.

Opponents of the measure raised $47 million to fight it, a huge sum even by California standards. By comparison, Jerry Brown spent about $36 million in his successful 2010 bid to become governor of California. Wisconsin Gov. Scott Walker and his allies spent $47 million to beat back his recall challenge on June 5.

Armstrong and a coalition of anti-smoking groups raised about $12 million to bolster the measure, including $500,000 from New York City Mayor Michael Bloomberg.

In a statement Friday, Lance Armstrong Foundation President Doug Ulman framed the issue as one of life and death.

"The defeat of this life-saving initiative is a genuine tragedy," he said. "Big Tobacco lied to voters to protect its profits and spent $50 million to ensure it can continue peddling its deadly products to California kids."

While raising the price of tobacco is a proven way to reduce smoking rates, especially in young people, campaign ads sponsored by tobacco companies focused on pocketbook issues. The ads noted money would be raised in California through the tax but wouldn't necessarily stay in the state for research. The campaign also raised the specter of an out-of-control bureaucracy that would be set up to oversee collection and distribution of the money.

The strategy didn't just stir doubt in the minds of voters.

Several major newspapers, including The Los Angeles Times, opposed the measure while expressing general support for such sin taxes and reluctance to side with tobacco companies. They argued that the revenue should go directly to the state, which now faces a $15.2 billion deficit.

The result was reminiscent a 2006 California cigarette tax measure that led by wide margins in early polling until tobacco companies spent $66 million to defeat it with ads featuring physicians.

It was unclear Friday whether the failure of Prop 29 constituted the narrowest defeat of a statewide ballot measure in California's history. Previously, the closest vote in the past two decades was on school bond measure 1B in 1994, which failed 49.6 percent to 50.4, according to Secretary of State spokeswoman Shannan Velayas. The second closest was another tobacco tax measure, which passed 50.5 percent to 49.5 percent in 1998.

California was once at the forefront of smoking restrictions and taxes, but the famously health-conscious state has not raised tobacco taxes since 1998.

Missouri voters are expected to weigh in on a tobacco tax increase in November and similar taxes are working their way through the legislative process in the Rhode Island, Massachusetts and Illinois.

The overwhelming majority of recent tobacco taxes across the nation have been approved in statehouses, not at the polls.

It remains to be seen exactly what he'll be involved with, but Facebook's new Product Design Manager brings quite a background with him to the job. Until just a few months ago, Chris Weeldreyer was a UI Design Manager at Apple (a role held for over eight years) where, as The Next Web reports, he was responsible for the company's iWeb and Numbers software, and has been named in a number of Apple's patent applications. Before that, he worked in both hardware and software product development, having held positions at Frog Design, Pentagram and Cooper. No word from either company on the move, but Weeldreyer himself made the move official on his LinkedIn page -- and, of course, his Facebook profile.

Could Carroll Shelby have created the latest round of mischief that is keeping him from finding final rest?

Carroll Shelby was never one to shy away from a good ol? Texas brawl, but few expected controversy to follow him to the grave.

Yet, more than a month after his death and weeks after a West Coast memorial service that brought celebrities like Jay Leno and scores of Shelby owners out for a celebration of his life?s work, the legendary racer and raconteur?s remains are still being held in a Dallas morgue.

The problem is a family feud pitting his sixth and last wife Cleo Shelby against his three children.? Each side claims to hold documents allowing them to dispose of Carroll Shelby?s body.

The one-time chicken farmer and Navy flight instructor became a force to be reckoned with, both on and off the track, after leaving military service in World War II.? By 1959 he had won the grueling 24 Hours of Le Mans endurance race but his career behind the wheel was cut short when an old heart ailment that had left him bedridden as a child returned.?

Shelby ran his last few races with a nitroglycerine tablet under his tongue. Then, at 37, rather than abandon the world of motorsports, he started teaching performance driving and launched his own specialty car company.? A half-century later, even a Shelby Cobra needing some work might fetch a million dollars or more at auction.

Shelby later formed a long-running alliance with automotive executive Lee Iacocca, first at Ford, where the tall Texan lent his expertise and name to high-performance versions of the Mustang, then following Iacocca to Chrysler.? In recent years, Shelby returned to Ford, again planting his name on the maker?s most powerful Mustang ever, the Shelby GT500, while also running his own tuner car company near Las Vegas.

But Shelby was never far from controversy in his business dealings, especially when he claimed to have found ?incomplete? chasses for dozens of the ?60s-era Cobras and started selling ?completed? models soon after.? It soon turned out they were being built from scratch and were relabeled ?continuation? Cobras.?

?There?s just a lack of closure in a situation where he did have a nice, long life,? Patrick Shelby told The Associated Press. ?He?s got relatives down in East Texas, and we?re just not able to get this chapter closed. And I?m not really sure what the reasoning is.??

For her part, Shelby?s widow calls the cremation document a forgery and hints at what could become an even more bitter, drawn-out battle, insisting that in his final months of life, one of Shelby?s sons ?arranged to exclude? her from being at her husband?s side as much as possible.

The two sides have taken their dispute to a Dallas County court, temporarily leaving Shelby?s body under the control of the medical examiner?s office because some of the claims made in the dispute potentially falls within Texas criminal law.

Attorneys for the two sides aren?t discussing where things stand and, for the moment, there?s been no hearing scheduled. ?

Important Events At Emmis Communications - Seeking Alpha

Below is a reader-submitted investment idea for Emmis Communications (NASDAQ: EMMS), drawing attention to important events that have occurred subsequent to the end of the most recent financial statements.

Overview

On an LTM basis, Emmis Communications Corp. appears to be an overvalued, overlevered company. However, after the quarter ended, the company closed (or is in the process of closing) several transactions that are significantly accretive and massively deleveraging. Pro forma for these transactions (and an unannounced but inevitable refinancing of debt, including 12.25% and 23.0% debt), EMMS is trading at only 5.9x equity cap/LTM free cash flow. The valuation drops to 4.8x equity cap/free cash flow if EMMS wins a lawsuit regarding its outstanding preferred stock. This is a complicated (and somewhat illiquid) situation that for a variety of reasons has not appeared on many investors' radar screens. However, insiders believe the stock is undervalued and instituted a 10b5 plan to buy up to 1 million shares at prices up to $2.00 per share (up 33% from current levels). In an unusual situation, the 10b5 was abruptly terminated after only two days due to an error by the broker, and could not be reinstated due to blackout issues. We believe that had this termination not occurred, EMMS' stock price would be significantly higher today.

Emms operates the 8th largest publicly traded radio portfolio in the United States based on total listeners. Emmis owns 18 FM and two AM radio stations in New York, Los Angeles, St. Louis, Austin, Indianapolis and Terre Haute, IN.

DEBT AS OF LATEST 10-Q

As of February 29, 2012, the company had the following debt ($mm):

OPCO:

  • Revolver $6.0

  • Term @ L+4: $87.9

  • Term @ 12.25%: $110.0

  • Total OPCO debt: $203.8

Holdco:

  • Notes @ 23.0%: $33.9

  • Consolidated:

For the LTM ended February 29, 2012, EMMS generated reported EBITDA of $26.3 mm (or $23.4mm as per Bloomberg and Yahoo), which implies a Debt to EBITDA of 9.0x. However, this reported EBITDA figure includes certain non-recurring items and, as illustrated by the company's analysis (click here under Quarter 4 click Non-GAAP Leverage Disclosure, 2.29.12 ), a more appropriate LTM EBITDA is $30.8 mm, which implies a still high leverage ratio of 7.7x. However, this ratio comes down significantly when the below asset sales are considered.

ASSET SALES

After the quarter ended, EMMS closed or will soon close three transactions that combined should generate $169 million of after tax and fees proceeds that will be used to repay debt.

  1. ESPN transaction which has already closed and generated $75 million of cash proceeds.

  2. KISS transaction which should generate $10 million of cash proceeds when it closes this summer.

  3. Grupo Radio Centro Put/call which should generate $84 million of cash proceeds when it closes this summer.

REFINANCING OPPORTUNITY

After closing the above asset sales, the company will be much less levered, so the company can refi its debt at significantly lower rates. All of the company's debt is prepayable with the following caveats. The 12.25% debt is subject to a 6% prepayment fee and due to a make whole provision, its not economically feasible to repay the 23% debt until next May, although we imagine the company could negotiate a prepayment.

Note: on May 30 the company refinanced over $70 million of its debt with a new 4.1% facility, but this isn't reflected in our analysis.

VALUATION

Pro forma this refinancing, EMMS would have Debt/EBITDA of 3.7x (down significantly from the current levels). Importantly, the company has large NOLs, so it pays no cash taxes and thus delevers more quickly than the debt/ebitda ratio may suggest.

We are assuming the new debt can be obtained at 6.5%.

So, pro forma the refinancing the company will have LTM free cash flow of:

  • 23.8 - Adjusted EBITDA (as per May 10 eps call)

  • (5.7) -6.5% interest on new debt

  • (0.0) -Cash taxes (~100mm NOL)

  • (5.4) - Capex

  • (2.9) - Preferred dividends

  • 9.7 Free cash flow

  • Stock Price $1.50

  • Shares outstanding 38.2

  • Equity cap 57.3

  • Equity Cap/Free cash flow 5.9x. But it may be even cheaper than that.

PREFERRED STOCK

On its balance sheet, EMMS has 6.5% preferred stock with a liquidation value of $47 million. In a complicated and controversial transaction, the company repurchased (for ~ $17 per preferred share compared to its $50 per share liquidation value) significant amounts of preferred and is now attempting to strip the remaining preferred stock of its dividends and essentially force each preferred to convert into 2.4 shares of common. There is currently a lawsuit regarding this matter and the next court date is later this summer. We believe EMMS has a good chance of prevailing. However, in order to be conservative, our analysis assumes EMMS loses this issue. Yet if EMMS wins, and the preferred convert into 2.3 million common shares and there will be no more dividend payments, the pro forma equity cap would be increase to $60.7 million, pro forma free cash flow would be $12.7 mm (9.7+2.9) and the equity cap/fcf multiple would be 4.8x. The preferred are publicly listed (EMMSP) and last traded at $15 (much less than the $50 liquidation value), but on very light volume.

INSIDER BUYING / 10B5-1

When the window was briefly open after the last earnings release, insiders bought stock. Perhaps most interesting was the activity by Herb Simon (of Simon Property Group (SPG)). After some earlier purchases at lower prices, on May 16, he bought 98k shares at $1.50. The following day he formed a "partnership" with EMMS' Chairman/CEO and that entity entered into a 10b5-1 plan that would enable it to buy up to 1.0 million shares at no more than $2.00 per share. On May 17, the partnership bought 98k shares at $1.48 and on May 22nd it bought 106k shares at $1.70 (15% above current price). On May 23, the 10b5 plan was terminated because the broker apparently screwed up by not buying any shares. We believe that since the company was in a blackout period, the 10b5 plan could not be reinitiated. However, the company reports earnings in mid-July at which time the insider buying window would reopen and the 10b5 could be restarted. We believe the $2.00 limit and $1.70 last purchase price give a good sense for what insiders think EMMS is worth. We also believe that had the 10b5 plan not been terminated, EMMS' stock price would currently be significantly higher not only because of buying by the plan, but also because the frequent insider buying filings would put this (complicated) idea on more investors' radar screen.

Since the 10b5 plan situation is unusual, below is the announcement from the original 13d.

HSJS, LLC has entered into a Rule 10b5-1 Purchase Plan with Stifel, Nicolaus & Company, Incorporated ("Stifel") which provides for the purchase of up to 1,000,000 shares of Class A Common Stock, including shares of Class A Common Stock purchased on or after May 17, 2012 by HSJS, LLC. Under the plan, Stifel is not permitted to purchase any shares of Class A Common Stock at a price greater than $2.00 per share. The plan can be terminated at any time subject to the Issuer's insider trading policy and pre-clearance by the Issuer.

Below is the disclosure in a later 13d announcing the termination of the plan.

Although the Rule 10b5-1 Purchase Plan entered into by HSJS, LLC provided for daily purchases of the Issuer's Class A Common Stock, subject to certain conditions and limitations, the broker implementing the Purchase Plan failed to purchase any Class A Common Stock on May 23, 2012. The decision not to purchase shares was made without the approval or knowledge of the Reporting Persons. Because the Purchase Plan had been deviated from, HSJS, LLC terminated the Purchase Plan on May 24, 2012.

OTHER

  1. This idea has several moving parts so we suggest you read the transcript of the last earning call and view SEC filings and the financial information on the Investors section of the website.

  2. While the company does not give guidance, comments from the earning call seem to indicate that this quarter (which will be announced in July) is doing well.

  3. Reported results are very deceiving because they do not reflect the asset sales mentioned above. As discussed in the earning call, pro forma these transactions, the business is doing much better than the "reported" results may indicate.

  4. Management essentially controls the company thru a dual class of stock and in the past has attempted to take it private. On the last earnings call they indicated they will not try to take it private again.

When You're Fired, Just Buy Yourself a New Boss?

We've talked for years about how Connected Nation, supposedly designed as as a broadband mapping firm that helps improve broadband coverage, has been criticized as really just a lobbying extension of the major phone companies, tasked with funneling subsidies toward incumbent companies and away from their competitors (or municipal government operations). The group is now facing heated criticism in Florida for using lobbying muscle and cash to crush any other firms that might have done a better job mapping broadband in the State. The telling paragraph from the report:

After repeated performance problems, DMS officials decided last year that they would not renew the broadband contract with Connected Nation when it expired in December and would seek new bids. Meanwhile, Connected Nation sent its lobbying team to get the governor?s office to order DMS to halt the contract process until the program could be moved to another agency. The company then persuaded the Legislature to transfer the program to the new Department of Economic Opportunity, and the governor signed the bill authorizing the move.

Actually having the lobbying muscle to change the law and shake up government organization is the kind of power that comes from being friends with hugely politically powerful incumbent phone companies. Connected Nation saw similar criticism in Minnesota when the organization lobbied and bullied their way to broadband mapping grants -- ensuring no public input on the process.

The criticism has been Connected Nation wins these grants, then provides rosy maps that suggest better competition and coverage than there actually is -- then steering any broadband money that does come in toward protected duopoly interests and away from any company or organization that could shake the uncompetitive boat.

I'm with you on it being wasted money, but why is it that the media in this country helps to promote every myth about everyday people wasting money on "welfare" when the real atrocities are occurring under corporate welfare, just like this?

Corporations are America's biggest welfare recipients, which is why I laugh at the notion of any idea that we're under in a free market. Companies' gave up innovating years ago to ask Uncle Sam for a check.

I definitely agree with regards to corporate welfare. I say just establish a uniform taxing/regulation policy for all companies and let the chips fall where they may.

But as for broadband mapping, can anyone explain why the government should care about it? ISPs already (and yes, I have *the list* ready should anyone dispute this) make their availability information readily available to the public. Some ISPs (Verizon FIOS in Maryland comes to mind) even make their deployment information public.

Given how this information is already widely and freely available, perhaps the government should stop wasting scarce money on these silly mapping projects and instead focus on more pressing concerns.

I actually would say I agree. I think that forcing FCC compliance with companies showing where their lines actually run would be sufficient for this purpose.

I think the money instead of spent on broadband mapping would make more sense as grants to help underserved areas receive FTTH services. I know there was some of this money being spent, Hardy County, WV's Hardy Communications received a grant, and they're laying FTTH in the rural part of the Eastern Panhandle as we speak.

Mapping broadband availability doesn't help make it more available. And the moment the map is released, the data changes. What does make it more available is putting that money into laying fiber in the areas that simply don't have it, and won't with purely private investment.

I can see why the state took away the oversight of the $6.3 million fed grant from DMS. It wasn't Connected Nation that caused this. It was DMS wasting the money.

DMS said the grant requires it to use some of the money to pay for three more years of broadband mapping and the rest to expand broadband access in libraries and schools. DMS hired eight contract employees to handle administration and provide services, paying them between $72,000 and $140,000 a year until the grant ends in 2014, and defended it as an efficient use of state funds.

So DMS planned over 4 yrs of the contract to use approx $3.2 million of the $6.3 million for oversight & mgt. I wonder whose relatives of DMS govt employees were going to fill those 8 positions?

Connected Nation may have used some muscle to get DMS stripped of the contract, but the state legislature and budget makers had already had it with DMS and their incompetence and were already inclined to strip them of power.

the other side of the coin...

I take issue with groups that have it out against CN. I don't work there, I don't represent them, but I do work in the industry. What I see are groups of people, businesses, and individuals who do not take the time to help the mapping process, and then turn around and complain when they don't get funding.

The line "supposedly designed as as a broadband mapping firm" is Ludicrous. They offer some of the best coverage and detailed maps of our industry anywhere to be found. Show me another group that has the resources in the field, the engineers in the offices, and the combination of the two that load maps into a portal like they do, allowing everyone quick and easy access to the maps.

To give you a view of how it works:
The government appropriates money for broadband coverage. In order to determine where the coverage is and isn't, they give grants to mapping coordinators. These coordinators go out, on-site and find broadband providers. They check phone books, yard signs, flyers, newspaper ads, etc. When they find a provider, they approach them and basically present their case: "I am with a national broadband mapping program, do you have any coverage maps of your service you can supply so that we can include you in the map? If you are not on the map, the government doesn't know you exist, and because of that you can't get funding."

And what do you think the ISPs do? Do they turn over maps? No. They are too scared of what "big brother" and their competitors will do with the information, so they opt out; they opt-out of the map, out of the money, and off the grid. And what follows? Complaints. "I didn't get any government money and my competitor did". Guess what, he supplied the maps.
So, what did the ever-hated CN do? They started running around with spectrum analyzers and telco equipment and building coverage maps based on investigatory work. Why, so the incumbent carriers could know exactly where these little guys are? No, so that they could supply information that the providers weren't willing to give up.

This idea that CN flipped politics to win a contract has nothing to do with what they do. It has to do with business. Please don't be so naive. If your company had the resources to win everything they could, they would do it to. It's not about the carriers or what someone is plotting against smaller ilecs/clecs/wisps etc. it's about winning contracts.
